These Terms & Conditions (“Terms”) govern your use of the website onerchem.com and any purchase of products from Wuhan Oule Chemical Co., Ltd. (“Onerchem,” “we,” “us”). By accessing this website or placing an order, you agree to these Terms in full.

1. Business Scope

Onerchem is a B2B cosmetic ingredient supplier. Products sold through this website are intended for professional use by cosmetic manufacturers, formulators, and procurement professionals. They are not intended for direct consumer application. Buyers are responsible for ensuring that ingredients are used in compliance with the cosmetic regulations of their target market (e.g., EU Regulation (EC) No 1223/2009, US FDA, ASEAN Cosmetic Directive).

2. Product Information & Specifications

• All product specifications, including purity (HPLC), CAS numbers, and INCI names, are described as accurately as possible based on current batch data.
• Each shipment is accompanied by a batch-specific Certificate of Analysis (COA). The COA is the definitive specification document for the product you receive.
• Technical guides, formulation suggestions, and application notes on this website are provided for informational purposes only and do not constitute formulation advice, regulatory guidance, or safety guarantees.
• We reserve the right to update product specifications, pricing, and availability without prior notice.

3. Ordering & Pricing

• Prices are quoted in USD unless otherwise stated and are confirmed in writing (email or proforma invoice) before each order.
• A confirmed order is formed when Onerchem issues an order confirmation or proforma invoice and the buyer confirms acceptance.
• Minimum order quantities (MOQ) vary by product and are stated on individual product pages or in direct correspondence.
• Prices do not include shipping, insurance, import duties, or local taxes unless explicitly stated under the agreed Incoterm.

4. Payment

• Payment terms are agreed individually per order and confirmed on the proforma invoice.
• Standard payment: T/T (telegraphic transfer) bank wire. Other methods may be available upon request.
• Orders are processed upon receipt of payment or as otherwise agreed in the proforma invoice.

5. Shipping & Delivery

• Standard Incoterms: EXW and FOB. CIF available on request. DDP subject to destination and volume.
• The applicable Incoterm is confirmed in writing at order stage and determines the point at which risk transfers to the buyer.
• Estimated lead times are provided in good faith but are not guaranteed. Delays caused by force majeure, customs clearance, or carrier issues are not the responsibility of Onerchem.
• Sample orders are typically dispatched within 7 working days of confirmation.

6. Samples

• Samples are available for R&D evaluation purposes. Sample availability, quantity limits, and any applicable charges are confirmed upon request.
• Sample products are provided with the same quality documentation (COA, MSDS) as bulk orders.
• Acceptance of a sample does not obligate either party to proceed with a bulk order.

7. Quality & Claims

• All products are shipped with batch-specific COA and MSDS documentation.
• The buyer must inspect goods upon receipt. Claims regarding quantity discrepancies, visible damage, or product quality must be reported in writing within 7 working days of delivery.
• Claims must include the batch number, COA reference, and a clear description of the issue. Photographic evidence and third-party test reports are required for quality disputes.
• Onerchem’s liability is limited to replacement of the defective product or a credit toward a future order, at our discretion. We are not liable for indirect, consequential, or incidental damages arising from product use.

8. Intellectual Property

All content on onerchem.com — including text, images, technical guides, sourcing guides, product data, and site design — is the property of Wuhan Oule Chemical Co., Ltd. and is protected by copyright. You may not reproduce, distribute, or republish any content without prior written permission.

9. Limitation of Liability

• Website content, including technical guides and formulation references, is provided “as is” for informational purposes. We make no warranties, express or implied, regarding completeness, accuracy, or suitability for any particular purpose.
• Onerchem is not liable for any loss or damage resulting from reliance on website content, product misuse, or regulatory non-compliance by the buyer.
• Our total liability for any claim relating to a product shall not exceed the purchase price paid for that specific product.

10. Force Majeure

Onerchem is not liable for any delay or failure to perform obligations caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, export restrictions, sanctions, shipping disruptions, or supplier shortages.

11. Governing Law & Disputes

These Terms are governed by the laws of the People’s Republic of China. Any dispute arising from these Terms or any transaction shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules.

12. Website Use

• You agree not to use this website for any unlawful purpose or in any way that could damage, disable, or impair the site.
• We reserve the right to modify, suspend, or discontinue any part of the website at any time without notice.
• Links to third-party websites (e.g., PubMed, EU CosIng) are provided for reference only. We are not responsible for the content or privacy practices of external sites.

13. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the website or placement of orders after changes constitutes acceptance of the updated Terms.
